Superior Industries Concludes Tender Offer for Purchase of Shares of UNIWHEELS AG

SOUTHFIELD, MICHIGAN – May 30, 2017:
Superior Industries International, Inc. (“Superior”) (NYSE:SUP), one of the largest manufacturers of aluminum wheels for OEMs in North America and Europe, announced today that it had concluded its tender offer for the purchase of shares of UNIWHEELS AG (“UNIWHEELS”), for an aggregate consideration of $714.7 million, financed through approximately $670 million of newly funded debt, as well as $150 million of preferred equity.

“The conclusion of the tender offer marks the beginning of a new chapter for Superior as a leading global supplier of aluminum wheels with a diversified customer base, expanded geographic reach, and a larger platform for future investment. We are thrilled to welcome the UNIWHEELS team to Superior, and believe this is a remarkable opportunity for our company and our collective employees. This highly transformative and synergistic transaction will deliver meaningful benefits for all of our stakeholders and positions the combined company extremely well for future growth and profitability,” stated Don Stebbins, Superior’s President and Chief Executive Officer.

The subscription period for the tender offer expired on May 22, 2017. As of expiration, 11,445,080 shares had been validly tendered, representing approximately 92.3% of UNIWHEELS shares of common stock, that were acquired by Superior for an average price of 233.67zl per share, or $714.7 million.

In conjunction with the close of the tender offer, Don Stebbins and Kerry Shiba will join the Supervisory Board of UNIWHEELS. In addition, as previously announced, Ransom A. Langford of TPG Growth was appointed to Superior’s Board of Directors in connection with the firm’s investment in Superior.

The Company expects to update its full-year 2017 outlook during its second quarter 2017 earnings call.

DTM Season Kicks Off on New Wheels

As of this season, ATS will be the official wheels supplier for DTM

BAD DÜRKHEIM, GERMANY – May 03, 2017:
From the 2017 season, all DTM touring cars, regardless of brand, will take their place on the starting line with the new ATS forged wheel. ATS, a UNIWHEELS AG brand (now part of Superior Industries International, Inc.), will thus become the industry partner for the series, as well as the official and exclusive DTM wheels supplier, producing aluminium forged wheels in sizes 12×18 for the front axle and 13×18 for the rear axle that are completely identical for all DTM cars of all three manufacturers. These new aluminium forged wheels are produced using a high-strength special alloy, meeting the extreme demands placed on strength and rigidity with their aesthetically sophisticated design that has also been optimised using computer-aided simulations. Various quality controls are implemented during an extremely complex manufacturing process to ensure that all wheels are produced within a very close weight tolerance just above the limit for the specified minimum weight, guaranteeing that all cars are equally competitive. The minimum weight for the front axle is 9.5 kilograms per wheel and 10 kilograms per wheel for the rear axle. The wheels are varnished in a semi-matt black colour.

Gerhard Berger, CEO of ITR, also expresses his delight about the new partnership: “With the UNIWHEELS group and their ATS brand, we’re delight to have a partner who has extensive technical expertise, as well as many years’ worth of experience in motorsport and in developing wheels for international automotive manufacturers.” Berger has been aware of ATS for many years, having competed in his first Formula 1 race in an ATS car in 1984 – the start of his Formula 1 career.

The new wheel rims were developed exclusively by ATS for DTM and will be manufactured solely in their forging plant in Fußgönheim. This will therefore ensure the highest levels of quality and the quickest reaction times. Dr. Wolfgang Hiller, COO of UNIWHEELS AG: “Besides wheels for motorsport, we also produce numerous prototypes for the international automotive industry in our wheel forging plant, located in Fußgönheim. We focus on developing new lightweight designs to save carbon dioxide and optimise performance.” They incorporated all their expertise into their wheel design process, which lasted over a year and involved over 20 employees from various divisions within the group. During this process, the wheels were subject to complex short and long-term tests in the UNIWHEELS development centre in Lüdenscheid, before also being tested by the manufacturer. One test involved simulating over a million load changes, as is stipulated by requirements of the three manufacturers competing in DTM, Audi, BMW and Mercedes-Benz.

All manufacturers receive a minimum of 20 wheelsets per car to be used in the coming season. According to regulations, it is mandatory/specified to use ATS wheels. These regulations have been created by DMSB, Germany’s motor racing governing body, in conjunction with ITR (International Touring Car Racing Association).

Superior Industries Announces Transformative Acquisition of Germany-based UNIWHEELS AG

SOUTHFIELD, MICHIGAN – March 23, 2017:
Superior Industries International, Inc. (“Superior”) (NYSE:SUP), the largest manufacturer of aluminum wheels for light vehicles in North America, announced today that it will commence a tender offer for 100% of the outstanding shares of UNIWHEELS AG (“UNIWHEELS”) (UNW-PL) on March 23, 2017. This tender offer is being commenced in connection with an agreement by the owner of 61% of the outstanding UNIWHEELS shares, UNIWHEELS Holdings (Malta) Ltd. (“UNIWHEELS Malta”), which has irrevocably agreed to tender its shares. The tender offer is not conditioned on receipt of any antitrust approvals. The aggregate equity purchase price, assuming all outstanding shares are tendered, is anticipated to be approximately $715 million.

Headquartered in Germany, UNIWHEELS is the third largest supplier of aluminum wheels to the European OEM automotive market, as well as Europe’s leading manufacturer of aluminum wheels for the automotive aftermarket. UNIWHEELS’ shares are traded on the Warsaw Stock Exchange under the ticker UNW. UNIWHEELS’ primary customers include Audi/Bentley/Porsche/Skoda/Volkswagen, BMW, Jaguar Land Rover, Mercedes/AMG, PSA Group, Volvo, among others.

The transaction will be funded through a combination of debt, preferred equity, and balance sheet cash. The preferred equity will be purchased by TPG Growth. The transaction has been approved by the Boards of Directors of Superior and UNIWHEELS Malta. The tender offer is expected to close around the end of May 2017.

Diversification: Creates a diversified global supplier of aluminum wheels with a solid footprint in Europe and North America, while enhancing relationships with its OEM partners. Includes the #1 automotive aftermarket aluminum wheel manufacturer in Europe.

Increased scale: Delivers benefits from complementary R&D, engineering capabilities and process technologies that will enhance overall operational efficiency.

Financial benefits: Immediately accretive to earnings per share. With no manufacturing overlap, the combined business will require minimal restructuring actions and create long-term value for Superior’s shareholders. Superior anticipates $15 million in annual run-rate synergies by 2020. Sales and volumes are balanced between North America and Europe.

Summary Terms of Agreement

Superior will immediately commence a tender offer for 100% of the outstanding shares of UNIWHEELS. The owner of 61% of UNIWHEELS’ outstanding shares, UNIWHEELS Malta, has irrevocably agreed to tender its shares. Completion of the tender offer, which is subject to the condition that at least 75% of the outstanding UNIWHEELS shares are tendered, is expected to be completed around the end of May 2017. The tender offer is not conditioned on receipt of any antitrust approvals.

Under the terms of the agreement: UNIWHEELS Malta will receive cash consideration of 226.5zl per share upon close of the tender offer. UNIWHEELS public shareholders will receive cash consideration of approximately 236zl per share, equivalent to the volume-weighted-average-price for the prior three months. The tender offer subscription period will commence promptly following expiry of the mandatory waiting period under Polish security regulations, which is expected on or about April 12, 2017 and after commencement, UNIWHEELS shareholders will have 40 days to tender their shares, unless extended by Superior.

The transaction is subject to customary and other terms and conditions set forth in the acquisition agreement, which Superior will file shortly with the SEC on Form 8-K.

Transaction Financing

To support the acquisition of 100% of UNIWHEELS’ shares outstanding, the transaction is to be financed with approximately $660 million of newly funded debt, consisting of a $400 million Senior Secured Term Loan B and $260 million of Senior Unsecured Notes, as well as $150 million of Preferred Equity, consisting of $100 million of Series A convertible redeemable preferred stock and $50 million of Series B preferred stock. A $150 million revolving credit facility also will be obtained.

The $150 million of Preferred Equity will be purchased by TPG Growth. As part of its investment, upon funding, TPG Growth will nominate one individual to Superior’s Board of Directors. The debt financing will be provided by a consortium of banks including Citibank NA, JP Morgan, Royal Bank of Canada and Deutsche Bank.

Following completion of the transaction and reflecting its new capital structure, Superior anticipates that it will reduce its annual dividend from $0.72 per share to $0.36 per share.
